Constitution of the Mississippi State University Anime Club

Declaration of Intent

This document hereby establishes the presence of a student organization that celebrates Japanese animation, commonly referred to as anime. The purpose of this organization, the Mississippi State University Anime Club, is spreading the knowledge and interest of anime between both the members of this club and the students, faculty, and staff of Mississippi State University (MSU) as a whole.

Chapter One: Structure of MSU Anime Club

Article I – Location and Government

A. The MSU Anime Club shall be located at Mississippi State University, on the Starkville main campus.

B. The MSU Anime Club shall be governed by the articles of this Constitution, its Amendments, and its By-Laws.

Article II – Officers

A. All powers of the MSU Anime Club shall be vested in the officers elected by the club members as listed below. These officers shall be referred to as the Executive Board of the MSU Anime Club. These officers shall be elected at the end of each spring semester according to the By-Laws. They shall be chosen from the existing active membership of the club. Their powers expire after the next election unless they are re-elected.

B. Powers and Duties of the President

1. To preside over all regular, executive, and special meetings except for those concerning his impeachment.

2. To be responsible for the overall execution of club business.

3. To appoint members to represent the club at MSU-related activities.

4. To call special meetings when necessary.

5. To serve as a representative of the MSU Anime Club.

C. Powers and Duties of the Vice President

1. To act in the place of the President in the absence or disability thereof.

2. To be the Executive Assistant to the President.

3. To appoint any committees necessary for execution of club business. All committees must be approved by the Executive Board.

4. To be responsible for the proper operation of all appointed committees.

5. To serve as a representative of the MSU Anime Club.

D. Powers and Duties of the Secretary

1. To handle and to be responsible for all correspondence pertaining to the club.

2. To keep complete and accurate minutes of all regular, executive, and special meetings.

3. To keep the President informed of all news and events which relate to the club.

4. To keep a complete record of meeting attendance and membership information.

5. To conduct all advertising-related business.

6. To be responsible for website content.

E. Powers and Duties of the Treasurer

1. To be responsible for all financial matters pertaining to the club.

2. To keep complete and accurate records of the organization’s monetary assets.

3. To keep the President informed of the overall financial status of the club.

4. To keep a complete record of dues and to ensure paid membership privileges.

5. To write a proposed budget each semester to be turned in to the Student Association. The budget must be approved by the Executive Board.

F. Powers and Duties of the Event Organizer

1. To be responsible for conception, planning, and overseeing of club events.

2. To lead any event-related committees.

3. To work with the Treasurer to ensure all financial transactions for each event are possible.

G. The Club Advisor

1. The Club Advisor of MSU Anime Club shall be a member of the faculty or staff of Mississippi State University. Nominations for the Club Advisor will be made by the Executive Board. The nominated advisor shall have the opportunity to accept or decline his nomination.

H. Officer Position Occupancy

1. An officer position may be occupied by one and only one person. In the event of constitutional amendments to the responsibilities of officer positions, these changes will take effect after the next election.

2. Only one office may be occupied by any elected candidate.

I. Additional Offices

1. Additional offices may be added via the constitutional amendment process as defined in Chapter Three, Article I.

2. In the event that offices are not filled after an election, they may be consolidated into any existing filled offices, with the exception of the President and the Vice President.

Article III – Membership

A. Membership categories are defined under the following sections:

1. Active Membership shall be composed entirely of students, faculty, and staff of Mississippi State University who have properly paid club dues and display consistent attendance to weekly meetings. “Consistent attendance” is defined as attending fifty percent of all meetings occurring in a month. Active Members have the right to an individual vote if a vote is taken on a given issue, can be elected to the positions of officers, and can participate in and head committees.

2. Inactive Membership shall be composed of any alumni of Mississippi State University, past Active Members who are not attending at the current time due to special circumstances, and members who do not meet the Active Membership attendance requirement. Inactive members are not allowed to vote or hold office. Inactive members may not participate in or head committees.

3. Honorary Membership shall be composed of persons who do not fit the criteria of Active or Inactive Membership. In execution, they shall be the same as Inactive Members.

B. Membership of this organization shall be open to any person who is a student, faculty, alumnus, or staff of Mississippi State University at such time as membership to the organization is sought. This condition applies to all except honorary members.

C. Membership status shall change in accordance with Section A.

D. The MSU Anime Club does not discriminate on the basis of race, color, religion, national origin, sex, gender, age, sexual orientation, group affiliation, handicap/disability, or veteran status.

Article IV – Treasury

A. The Treasury of the Mississippi State University Anime Club shall consist of all financial assets, including but not limited to the club bank account and any associated currency. The Treasury is the full responsibility of the Treasurer.

B. The Treasurer shall keep written records of any deposits, withdrawals, or adjustments in the Treasury. Any and all transactions shall be available and accessible to the Executive Board at any time.

C. The process of all Treasury transactions shall be as follows: for every payment by a member, an accurate written receipt will be provided at the immediate time of payment. The Treasurer is responsible for providing all members making transactions with an accurate written receipt; payment cannot be given unless a receipt is provided. The Treasurer will present a report of the club account and budget to the Executive Board once every two weeks.

D. The Treasurer shall be held accountable for the financial integrity of the Treasury. The Treasurer will be a consistent custodian of the Treasury and shall recover it if it is lost.

E. If the Treasurer is removed from office by resignation or impeachment, or is otherwise unable to maintain responsibility of the Treasury, he shall immediately transfer all funds to the President or a caretaker appointed by the President until the vacancy of the Treasurer is filled in accordance with Chapter 4, Article II—at which time the Treasury is transferred to the new Treasurer.

Chapter Two: Meetings and Dues

Article I – Meetings

A. The MSU Anime Club shall meet weekly at a time convenient for a majority of members.

B. The condition of a quorum is met with the present company’s composition is dominated by Active Members.

C. Active Members shall be notified of a called or special meeting at least three days prior.

D. Decisions made in the course of any meeting are binding to all members of the MSU Anime Club, whether those members are present or not. Decisions are made through a simple majority vote among the present active members.

Article II – Dues

A. Active membership is awarded upon successful payment of club dues, which must be renewed at the start of each semester.

B. The Executive Board determines the amount of club dues at the start of each year.

C. The Executive Board shall post any additional fees whenever necessary.

D. Only active and inactive members are subject to membership fees. Honorary members’ obligation to special fees and the privileges they provide is to be determined by the Executive Board according to the situation.

Chapter Three: Concerning Amendments and Revisions

Article I – Amending Procedures

A. Amendment to this constitution or its By-Laws shall be proposed by Active Members, in writing, to the Executive Board and then presented to the club at the following meeting. Voting on the amendments shall occur at least one week after the amendments are presented.

B. An amendment shall become effective immediately after it has been approved by a two-thirds majority vote among the Active Members.

C. In the interest of clarity and organization of this document, all amendments shall be added, in precise and expeditious manner, to the final Chapter of the Constitution titled “Constitutional Amendments.”

Article II – Revisions

A. A Revision of this Constitution shall be undertaken only if such a motion is approved by two-thirds majority vote of the Active Members. If the process of revision is approved, then the act shall be undertaken by the Executive Board.

B. It is at the discretion of the Vice President to appoint a committee for constitutional revision.

C. Revisions to this Constitution or its By-Laws shall be proposed by the Constitutional Revision Committee in writing, to the Executive Board, and presented to the club at the following meeting. Voting on the constitutional revisions shall occur at least one week after the revisions are presented.

D. Revisions shall become effective immediately after they have been approved by a two-thirds majority vote among the Active Members.

Chapter Four: By-Laws

Article I – Elections

A. The process of electing new officers shall be organized and conducted within four weeks of the end of the spring semester by the Executive Board. Offices shall be elected in the order that they appear in Chapter 1, Article II. Elections are to be conducted through voting by means of simple majority vote. Vote count shall be committed directly by the Executive Board.

B. Nominees must be Active Members, and all nominations must be seconded by at least one other active member. Upon successful nominations, the nominee becomes a candidate. No member can nominate himself. All nominees may reject their nomination.

C. All present active members have the right to vote for the candidate of their choice. A candidate retains the right to remove himself from his pursuit.

D. In the case that there is only one candidate for an office, then the office is automatically awarded to that candidate, subject to simple majority approval.

E. The candidate who receives the simple majority vote will win the office.

F. In the case that more than two candidates exist for a position and no candidate in the initial vote receives more than fifty percent of the vote, another session of voting concerning the two candidates who received the plurality of votes in the first session will occur. The candidate who then receives the simple majority vote will win the position.

G. In the case of an equal amount of votes for two candidates, votes shall be cast again until a victor emerges. If, after the third session of votes, the candidates remain deadlocked, the candidate who stands with the longest active membership shall win the position.

H. Elected candidates, in accepting their duties, must do so upon a personal assurance that they shall honestly and willfully pursue their duties, with respect to the Constitution, Members, Officers, and interests of the MSU Anime Club, to the best of their ability.

J. The elected candidates shall assume their duties at the start of the following fall semester. The elected candidates shall serve as interim officers in the event that any current officer is unable to fulfill their duties.

Article II – Vacancies

A. Should the club experience a vacant office, then the remaining members of the Executive Board shall hold a special election to fill the vacancy. Any election held shall be conducted according to Chapter 4, Article I.

B. Should the station of President become vacant, the vacancy shall shift to the Vice President’s Office, and the Vice President shall assume presidential duties. A new Vice President shall be appointed by the new President, to be approved by simple majority vote of the Active Membership.

Article III – Impeachment

A. In order for an impeachment and possible removal to occur, an impeachment petition, stating the office and member to be impeached, must be created and signed by simple majority all Active Members.

B. The impeachment petition must be presented to all of the members of the Executive Board, including the officer against whom the petition is lodged. The defending officer then undergoes a two-week restriction period; he will then have the next club meeting to refute the charges and argue against them.

C. A removal hearing will be conducted at the following club meeting.

D. The procedure of a removal hearing is as follows:

1. A Moderator shall be chosen by the Executive Board from the Active Members. This Moderator cannot be on the Executive Board, nor does he possess any power to make a decision regarding the removal.

2. The Moderator shall first allow the members who have lodged the petition to present their charges and supportive arguments to the Executive Board and the present Active Members.

3. The defending officer is not allowed to be present at his removal hearing. The Executive Board must review the officer’s arguments at the previous meeting with the Active Members, but no new protests can be made by or against the defending officer.

4. The Moderator shall then take a vote amongst the Active Members to determine the outcome of the hearing. He or she shall take count of these votes and present them. For removal to occur there must be a two-thirds majority vote.

5. The Moderator will announce the outcome and conclusion of the hearing.

E. Any vacancies created by a removal shall be resolved by the procedures of C4-Ar.II.

Article IV – Official Club Communication

A. The Mississippi State University Anime Club uses the following methods of mass club communication, in order of importance: club meetings, the club internet forums, and the official electronic mailing list.

B. While the forums and electronic mailing list are forms of mass communication, they are official privileges of the club accessible to the members.

C. The official club forums and the electronic mailing list are to be regulated by the Executive Board.

Article V – Member Conduct at Events and Meetings

A. All members have the right to file complaints of behavioral misconduct against any member or officer to the Executive Board.

B. In the event that a member or officer displays behavioral misconduct in club meetings or events, the party will be given a warning. If the party in question does not heed the warning, then these levels of consequences will follow.

a. Written Warning: the party will be given a written warning and informed of resulting consequences if he persists with his current behavior.

b. Removal of Privileges and Temporary Suspension: The party will no longer be able to attend club parties or events for that semester. Suspension from meetings will be dispensed per discretion of the Executive Board, not to exceed one semester.

c. Permanent Removal of Privileges and Permanent Suspension: The party in question will be banned from attending club meetings and events for an entire year. If he persists to attend meetings or events after a permanent suspension has been decreed, the campus police will be notified to escort the offender away.

C. The Executive Board is responsible for determining whether or not an offense has occurred. The Executive Board reserves the right to expel any excessively disruptive or offensive members from the meeting or event. The Executive Board reserves the right to ban permanently any members that commit gross violations of conduct or law.

D. If a member feels he has been wrongfully accused of an offense, they have one week to appeal their case. The appeals process shall be conducted by a simple majority vote by the Active Membership present at the incident.

Chapter Five: Constitutional Amendments

1. Treasurer candidates must have been an active member for two complete semesters before being eligible for the Treasurer position. Also, they must have attended 50% of all regular meetings during those semesters. Semesters are defined as spring and fall semesters. Summer semesters do not count.

2. Presidential candidates must have been an active member for three complete semesters before being eligible for the office of President. Also, they must have attended 75% of all regular meetings during those semesters.

3. Dropping all classes constitutes automatic resignation from any officer position.

4. By a unanimous decision of all other officers and the sponsor, the impeachment process can be immediately initiated against an officer.

5. In the case of an officer resignation, if the resignation is past the semester midpoint of the semester in which normal elections are held, then no special election will be held to fill the vacancy. Instead, the vacancy will be filled by the normal elections. Semester midpoint is as defined on the official MSU academic calendar.
